1. Agreement to Terms

By accessing and using the website and services of GREATWILL SOURCING (HK) LTD ("we", "our", or "us"), you accept and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our website or services. These Terms, together with our Privacy Policy and any other policies or notices we publish on our website, govern your use of our site and the purchase of our products. We reserve the right to amend these Terms from time to time; the "Last updated" date will be revised accordingly. Continued use of our website or services after changes constitutes acceptance of the revised Terms, subject to your rights under applicable Hong Kong law.

2. Governing Law and Jurisdiction

These Terms are governed by the laws of the Hong Kong Special Administrative Region. Any dispute arising out of or in connection with these Terms or your use of our website or products shall be subject to the exclusive jurisdiction of the courts of Hong Kong. Nothing in these Terms shall exclude or limit your statutory rights under Hong Kong law, including but not limited to the Sale of Goods Ordinance (Cap. 26), the Control of Exemption Clauses Ordinance (Cap. 71), the Trade Descriptions Ordinance (Cap. 362), the Electronic Transactions Ordinance (Cap. 553), and the Personal Data (Privacy) Ordinance (Cap. 486), to the extent that such exclusion or limitation is not permitted.

3. Electronic Transactions and Contract Formation

Our website and order process operate in an electronic environment. Under the Electronic Transactions Ordinance (Cap. 553) of the Laws of Hong Kong, electronic records and electronic signatures are afforded the same legal status as paper-based counterparts where they are reliable, appropriate for the purpose, and agreed by the recipient. By placing an order through our website, you acknowledge that you are making an offer to purchase products on these Terms. A contract between you and us is formed only when we accept your order (e.g. by confirmation email or by dispatching the goods). We reserve the right to refuse or cancel any order at our discretion, including where we suspect fraud, error, or a breach of these Terms.

4. Products, Descriptions, and Pricing (Trade Descriptions Ordinance)

We strive to provide accurate product descriptions, images, and pricing. Under the Trade Descriptions Ordinance (Cap. 362), we do not make false or misleading trade descriptions. However, colours and details may vary slightly due to photographic, screen, or manufacturing variations. We reserve the right to:

• Correct any errors in pricing or product information
• Refuse or cancel orders for products listed at incorrect prices or with material errors, in which case we will notify you and, if payment has been taken, refund you
• Limit quantities per person or per order
• Discontinue or modify products without prior notice

All prices are displayed in the currency stated on our website and, unless otherwise indicated, exclude applicable taxes and shipping costs. Such costs will be shown at checkout where applicable.

5. Orders and Payment

When you place an order, you represent that you are authorised to use the payment method provided and that the information you supply is true and complete. Payment must be received and cleared before we dispatch your order. We accept the payment methods displayed on our website. Payment processing may be carried out by third-party providers; their terms and privacy policies apply to the handling of your payment data.

We are not responsible for delays or failures in payment processing caused by your bank, card issuer, or the payment provider. If payment fails, we may cancel the order and will not be liable for any loss arising from such cancellation.

6. Shipping, Delivery, and Risk

Shipping terms, costs, and estimated delivery times will be displayed at checkout. We will use reasonable endeavours to meet stated delivery estimates but are not liable for delays caused by carriers, customs, weather, or other events beyond our control. Risk in the products passes to you upon delivery to the address you specify (or to the carrier if you collect from a nominated point).

You are responsible for providing accurate shipping details. We are not liable for loss or damage resulting from incorrect or incomplete address information.

7. Returns, Refunds, and Consumer Rights (Sale of Goods Ordinance / Consumer Rights)

We accept returns within 30 days of delivery for unworn items in original packaging with tags attached. Items must be in saleable condition. Please contact us at coco@gwshk.com to request return authorisation. Return shipping costs are the responsibility of the customer unless the return is due to our error or a defective product.

Where we accept a return, we will process a refund to the original payment method within a reasonable period, typically within 14 business days of receipt of the returned goods. Nothing in these Terms excludes your statutory rights under Hong Kong law (including under the Sale of Goods Ordinance and consumer protection legislation) in respect of faulty or misdescribed goods.

We do not offer exchanges through our website; please place a new order for an alternative size or product and return the original item if eligible.

8. Intellectual Property

All content on this website, including but not limited to text, graphics, logos, images, product designs, and software, is the property of GREATWILL SOURCING (HK) LTD or our licensors and is protected by copyright, trademark, and other intellectual property laws of Hong Kong and applicable jurisdictions. You may not reproduce, distribute, modify, or create derivative works from any such content without our prior written consent, except as permitted by law (e.g. fair dealing).

9. Limitation of Liability (Control of Exemption Clauses Ordinance)

To the fullest extent permitted by the laws of Hong Kong, including the Control of Exemption Clauses Ordinance (Cap. 71):

• We shall not be liable for any indirect, incidental, special, or consequential losses or damages (including loss of profits, data, or goodwill) arising from your use of our website or products, or from any breach of these Terms, except where such exclusion is not permitted by law.
• Our total liability to you in respect of any claim arising out of or in connection with these Terms or your use of our website or products shall not exceed the amount you paid to us for the relevant order(s) in the twelve (12) months preceding the claim.
• We do not exclude or limit our liability for death or personal injury caused by our negligence, fraud, or any other matter in respect of which exclusion or limitation is not permitted under Hong Kong law.

You agree to indemnify and hold harmless GREATWILL SOURCING (HK) LTD, its directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or in connection with your use of our website or services, your breach of these Terms, or your violation of any law or the rights of any third party.

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision shall not constitute a waiver of such right or provision. These Terms constitute the entire agreement between you and us regarding our website and services, and supersede any prior agreements.

We may assign or transfer our rights or obligations under these Terms to a related entity or in connection with a merger, sale, or restructuring. You may not assign or transfer your rights or obligations without our prior written consent.
